1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the products, services, website, mobile applications, and software provided by IntelliClean Robotics Pty Ltd (“IntelliClean Robotics”, “we”, “our”, or “us”). By engaging with our products or services, you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, you must not access or use our services.

2. Who We Are

IntelliClean Robotics provides automated and semi-automated robotic cleaning solutions for commercial and residential use. Our services may include hardware sales, software licensing, support, and subscriptions.

3. Eligibility

To purchase products or engage our services, you must:

  • Be at least 18 years old;

  • Provide accurate and complete information;

  • Have legal authority to enter into a binding agreement.

If you are using our services on behalf of a company or entity, you confirm that you are authorised to do so.

4. Use of Our Products and Services

You agree to:

  • Use our products and services only for lawful purposes;

  • Not misuse, reverse engineer, or tamper with our hardware or software;

  • Follow all instructions and safety guidelines provided with our products;

  • Maintain your account details (if applicable) confidential and secure.

5. Orders and Payments

  • All orders are subject to acceptance and availability.

  • Prices are listed in Australian Dollars (AUD) and include GST unless otherwise stated.

  • We reserve the right to change prices or cancel orders at any time prior to dispatch or confirmation.

  • Payment terms are as agreed during checkout or invoicing.

6. Delivery and Risk

  • We deliver within Australia and internationally (where specified).

  • Delivery times are estimates only. We are not liable for delays outside our control.

  • Risk in the goods passes to you upon delivery. Title passes once full payment is received.

7. Warranties and Australian Consumer Law

Our goods and services come with guarantees under the Australian Consumer Law (ACL) that cannot be excluded. You are entitled to:

  • A replacement or refund for a major failure;

  • Compensation for any other reasonably foreseeable loss or damage;

  • Repair or replacement if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Our products may also carry additional manufacturer or limited warranties as specified.

8. Returns and Refunds

  • Returns must be made within 14 days of delivery;

  • Items must be unused, in original packaging, and in saleable condition;

  • We may charge a restocking fee or refuse returns for change-of-mind purchases;

  • Return shipping is at your cost unless the product is faulty or covered under warranty.

9. Intellectual Property

All intellectual property rights in our products, content, branding, and software remain the property of IntelliClean Robotics or its licensors. You may not reproduce, modify, distribute, or use our content or technology without written permission.

10. Software and Data Use

If you use our software, apps, or cloud-connected devices:

  • You are granted a non-exclusive, non-transferable license to use the software as intended;

  • We may collect usage data to improve service delivery, with respect for your privacy (see our [Privacy Policy]);

  • You must not attempt to modify, hack, or resell our software or services.

11. Limitation of Liability

To the maximum extent permitted by law, IntelliClean Robotics is not liable for any:

  • Indirect or consequential losses;

  • Business interruption, loss of revenue, data, or goodwill;

  • Personal injury or property damage due to misuse of our products or failure to follow safety instructions.

Our total liability for any claim is limited to the amount paid by you for the product or service in question.

12. Indemnity

You agree to indemnify and hold IntelliClean Robotics harmless from any claims, losses, or damages arising from:

  • Your misuse of our products or services;

  • Breach of these Terms;

  • Violation of laws or third-party rights.

13. Termination

We may suspend or terminate your access to services without notice if you breach these Terms. You may terminate use at any time. Clauses relating to intellectual property, liability, indemnity, and governing law survive termination.

14. Force Majeure

We are not liable for failure or delay in performance due to circumstances beyond our reasonable control (e.g., natural disasters, pandemics, transport delays, cyberattacks, etc.).

15. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes indicates your acceptance of the updated Terms. The most current version will be available on our website.

16. Governing Law

These Terms are governed by the laws of Western Australia, and you agree to submit to the non-exclusive jurisdiction of the courts of that State.
